B2B Buyer Agreement

1. Definitions

“Buyer”: Any licensed entity or representative purchasing products from Medomics Healthcare Private Limited for resale, clinical use, or institutional supply.
“Company”: Medomics Healthcare Private Limited, the supplier of the pharmaceutical and healthcare products.
“Products”: All pharmaceutical drugs, health products, OTC items, and medical supplies offered for sale by the Company.

2. Buyer Eligibility

Buyers must possess a valid drug license, GST number, and PAN card as required by Indian law.
Only authorized personnel or representatives are permitted to place and confirm orders on behalf of the buyer.

3. Purchase Terms

All orders are subject to availability and confirmation by the Company.
Minimum order quantities (MOQ) may apply on certain SKUs.
Prices quoted are exclusive of applicable GST and logistics charges unless stated otherwise.

4. Payment Terms

Advance payment or payment against proforma invoice is required for new buyers.
Credit terms (e.g., 15/30 days) may be offered to regular or vetted buyers, subject to approval.
Late payments may incur an interest penalty of 1.5% per month on outstanding balances.

5. Shipping and Delivery

The Company will coordinate shipping via verified courier/logistics partners.
Risk and title transfer to the Buyer upon delivery.
Damage or short supply must be reported within 24 hours of receipt, along with unboxing proof (photos/videos).

6. Returns & Replacement

Only defective, expired, or wrongly supplied products are eligible for return or replacement.
Returns must be requested within 7 days of delivery with supporting evidence.
Cold chain and temperature-sensitive items are non-returnable unless damaged in transit.

7. Confidentiality

All pricing, product details, and business terms shared between both parties are considered confidential and may not be disclosed to third parties without written consent.

8. Compliance

Buyers agree to comply with all Drug and Cosmetic Act, 1940, NDPS Act, and Rajasthan state regulations regarding pharmaceutical storage, resale, and documentation.
Medomics reserves the right to audit buyer credentials or revoke access in case of non-compliance.

9. Dispute Resolution

In case of disputes, parties will attempt to resolve amicably.
Failing that, jurisdiction will lie exclusively with the courts of Jaipur, Rajasthan, India.

10. Modification of Terms

Medomics Healthcare Private Limited reserves the right to amend or revise the terms of this agreement with prior notice.
Continued business after such updates constitutes acceptance of the revised terms.
